1. Introduction

These Terms of Service ("Terms") govern your use of the ZealDomains website and all related services, including the purchase, lease, and transfer of domain names ("Services"). By placing an order, submitting an offer, or entering into a lease agreement through our platform, you agree to be bound by these Terms.

"We," "us," and "our" refer to ZealDomains, the operator of this marketplace. "You" and "buyer" refer to the individual or entity purchasing or leasing a domain name.

2. Domain Purchases

All domain names listed on our platform are sold on an "as-is" and "as-available" basis. We make no representations or warranties of any kind, express or implied, regarding the merchantability, fitness for a particular purpose, value, or suitability of any domain name.

We reserve the right to refuse, cancel, or reverse any transaction at any time and for any reason, including but not limited to domain unavailability, pricing errors, suspected fraud, or regulatory concerns. In the event that we cancel a transaction, any payment already received will be refunded in full.

Listing a domain name on our platform does not constitute a binding offer to sell. A purchase is only confirmed once payment has been processed and we have sent written confirmation of the order.

3. Domain Transfers

Following a confirmed purchase, we will initiate the transfer of the domain name to your registrar account. Domain transfers are typically completed within 1–5 business days, but may take longer depending on the registrar, registry lock status, or other factors outside our control.

We make no guarantee that a domain transfer will be completed successfully. Factors that may prevent or delay transfer include registrar policies, ICANN transfer restrictions, domain lock periods, or third-party claims. If a transfer cannot be completed, you will receive a full refund of the purchase price.

We do not warrant that the use of any domain name will not infringe upon the rights of any third party. It is your sole responsibility to conduct appropriate due diligence, including trademark searches, before purchasing a domain name.

4. Lease-to-Own Terms

Under a lease-to-own arrangement, you agree to make an initial down payment followed by recurring monthly payments for the agreed duration. The domain name will be transferred to your ownership only after all payments have been received in full.

During the lease period, you may use the domain name for lawful purposes, but you do not hold ownership rights until the final payment is made. We retain ownership of the domain name until the lease is completed.

If you miss a scheduled payment or fail to make payment within 7 days of the due date, we reserve the right to terminate the lease agreement immediately. In the event of termination due to non-payment, all payments previously made are forfeited and non-refundable. We may reclaim the domain name and relist it for sale without further obligation to you.

5. Offers & Negotiations

Submitting an offer through our platform does not create a binding agreement. An offer becomes binding only when it is explicitly accepted by us in writing and payment has been processed. We are under no obligation to accept any offer, regardless of the amount.

Offers are subject to the same terms and conditions as standard purchases once accepted.

6. Refund Policy

Once a domain name has been successfully transferred to your registrar account and you have received full control of the domain, the sale is considered final and no refunds will be issued.

If we are unable to complete the transfer of a domain name for any reason, you will receive a full refund of the purchase price. Refunds will be issued to the original payment method within 5–10 business days.

Lease-to-own payments are non-refundable once processed, except where we are unable to fulfill our obligations under the lease agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability arising out of or related to any transaction shall not exceed the total amount you paid for that specific domain name purchase or lease.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.

We are not responsible for any losses resulting from the use or inability to use a domain name, including losses arising from third-party claims, trademark disputes, or domain name resolution issues.

8. Indemnification

You agree to indemnify, defend, and hold harmless ZealDomains, its owners, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of any domain name purchased or leased through our platform
• Your violation of these Terms
• Your infringement of any third-party intellectual property or other rights
• Any content you associate with or publish on a domain name acquired through us

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ZealDomains operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services following any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
